Service Agreement for tourist services

Studio Marine SRL Tour operator and nautical operator specialised in tailor-made experiences by sea and by land


1. CONTRACTING PARTIES

This agreement is entered into between:

Studio Marine SRL, with registered office at Via Nazionale 75 07051 Budoni (Sassari), VAT no. 01671230918, represented by its sole director Gianni Goddi (hereinafter referred to as "Provider" or "Studio Marine")

and

[Client Name/Company Name], residing/with registered office at [Address], Tax Code/VAT no. [Number] (hereinafter referred to as "Client")


2. SUBJECT MATTER

This agreement governs the provision of the following services offered by Studio Marine SRL:

  • Catamaran excursions
  • Land Rover excursions
  • Transfers and excursions
  • Chauffeured private car hire
  • Personalised packages and tailor-made experiences
  • Any other tourist service organised by Studio Marine SRL

3. DURATION

This agreement is valid for the duration of the individual booked service and is deemed accepted upon confirmation of the booking with payment of the deposit.


4. CLIENT OBLIGATIONS

The Client undertakes to:

  • Provide accurate and complete information at the time of booking
  • Communicate specific needs and particular requirements with adequate advance notice
  • Follow the instructions of Studio Marine staff during the delivery of services
  • Comply with applicable safety regulations
  • Arrive punctually at the agreed location and time for the start of the service

5. STUDIO MARINE SRL OBLIGATIONS

Studio Marine SRL undertakes to:

  • Provide the booked services in accordance with the declared quality standards
  • Promptly communicate any changes or impediments
  • Provide informational materials about the services
  • Comply with applicable safety regulations for each type of service
  • Provide assistance during the delivery of services
  • Make qualified personnel available

6. PRICING

6.1 Prices

All rates are inclusive of VAT. Prices are considered final upon confirmation of the booking.


7. PAYMENT TERMS

7.1 Standard Terms

  • Deposit of 30% of the service value at the time of booking
  • Balance of 70% of the service value at least 7 days before the service date
  • Bookings made within 6 days of the service date: 100% of the service value due at the time of booking
  • Payment by bank transfer, credit card or other methods as communicated

7.2 Late Payments

In the event of late payment of the balance, Studio Marine SRL reserves the right to:

  • Cancel the booking without entitlement to a refund
  • Request immediate payment of amounts due
  • Suspend the delivery of the service until full payment is received

8. BOOKINGS AND CONFIRMATIONS

8.1 Procedure

  • The Client submits a booking request by email to booking@studiomarine.it or through other indicated channels
  • Studio Marine confirms availability within 48 working hours
  • The booking is considered confirmed only upon receipt of the deposit
  • Studio Marine sends written confirmation with all operational details

8.2 Amendments

  • Date changes: must be requested at least 7 days in advance, subject to availability and possible price variations
  • Increase in number of participants: must be communicated at least 48 hours in advance, within capacity limits
  • Decrease in number of participants: no refund for unused places
  • Itinerary/service changes: assessed on a case-by-case basis; any additional costs are borne by the Client

9. CANCELLATIONS AND REFUNDS

9.1 Cancellation by the Client

Cancellations must be communicated exclusively by email to booking@studiomarine.it and are subject to the following penalties:

Communications must be received by 09:00 (Italian time) on the deadline day. Communications received after this time will be considered as having been made on the next working day.

9.2 Cancellation by Studio Marine SRL

Studio Marine SRL may cancel the service due to:

  • Adverse weather or dangerous road conditions
  • Technical failures or extraordinary maintenance
  • Orders from competent Authorities
  • Force majeure

In such cases, the Client shall be entitled to:

  • Full refund of 100% of amounts paid, or
  • Free rescheduling (subject to availability)

9.3 Refund Processing

  • Refunds are processed within 14 working days of receipt of a valid request
  • Refunds are issued via the same payment method used by the Client

10. LIABILITY AND INSURANCE

10.1 Provider Liability

Studio Marine SRL is responsible for the delivery of the service as agreed and is liable for any non-performance attributable to its own organisation or personnel.

However, the total liability of the Company towards the Client, for any cause arising from this agreement, shall in no case exceed the total amount actually paid by the Client for the specific service in dispute.

In no event shall the Company be liable for indirect, consequential or incidental damages, or for damage to image or reputation.

This limitation of liability does not apply in cases of:

  • Wilful misconduct or gross negligence by the Company
  • Breach of essential contractual obligations
  • Liability for personal injury resulting from negligence in the delivery of services
  • Where such limitation is excluded by Italian law

10.2 Insurance

All services include:

  • Passenger liability insurance
  • Third-party damage coverage
  • Vehicle/vessel insurance

The Client is advised to consider purchasing travel cancellation insurance at their own expense.


11. SAFETY AND OPERATIONAL DECISIONS

11.1 Driver/Operator Decision

In accordance with applicable safety regulations, the final decision on the feasibility, continuation or interruption of the service rests exclusively with the assigned Driver/Operator/Captain. Such decision is final when motivated by safety reasons.

11.2 Client Notice

The Client is informed that:

  • Weather and road conditions may require itinerary changes
  • Safety takes absolute priority over any other consideration
  • Safety decisions made by operational staff are final

12. CONFIDENTIALITY AND DATA PROTECTION

12.1 Personal Data Protection

Studio Marine SRL undertakes to comply with EU Regulation 2016/679 (GDPR) and applicable national data protection legislation. The Client's data will be processed by the Company as data controller solely for purposes related to the performance of this agreement and compliance with legal obligations.


13. COMPLAINTS AND DISPUTES

13.1 Complaints Handling

  • Complaints must be submitted to Studio Marine within 24 hours of the end of the service
  • Studio Marine undertakes to respond within 7 working days
  • Complaints submitted after the deadline will not be considered

13.2 Disputes

Any dispute arising from this agreement shall be resolved primarily through direct negotiations between the parties. In the absence of an amicable settlement, the dispute shall be referred to the exclusive jurisdiction of the Court of Nuoro.


14. GOVERNING LAW

This agreement is governed by Italian law. Where not expressly provided for, the provisions of the Italian Civil Code on contracts and obligations shall apply.


15. FINAL PROVISIONS

15.1 Entire Agreement

This agreement, together with its attachments, constitutes the entire agreement between the parties and supersedes all prior understandings, whether written or verbal.

15.2 Amendments

Any amendment to this agreement must be approved in writing by both parties.

15.3 Partial Invalidity

The invalidity or ineffectiveness of one or more clauses of this agreement shall not render the entire agreement invalid, unless the invalid or ineffective clauses constitute an essential element of the parties' consent.

15.4 Communications

All communications between the parties must be made through:

17. ACCEPTANCE

The Client, having read the above terms and conditions, accepts them in full and declares to have received a copy of this agreement prior to signing.

Pursuant to Arts. 1341 and 1342 of the Italian Civil Code, the Client declares to have carefully read and specifically approves the following clauses: Art. 6 (Pricing), Art. 7 (Payment Terms - Late Payments), Art. 9 (Cancellations and Refunds), Art. 10 (Liability and Insurance), Art. 11 (Safety and Operational Decisions), Art. 13 (Complaints and Disputes - Jurisdiction).
